OVERVIEW

This website and subscription service are operated by XP Global Limited. (“we”, “us”, “our”). We are a company registered in England and Wales under company number 16563270; the registered office is c/o ABR Chartered Accountants, 37th Floor, One Canada Square, London, England, E14 5AA. By subscribing to or using our subscription services (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all the terms, do not subscribe or use our Service.

We reserve the right to update, change, or replace any part of these Terms by posting updates on our website. It is your responsibility to check this page periodically for changes. Your continued use of the Service constitutes acceptance of those changes.

SECTION 1 - ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years old to use this Service. By creating an account and subscribing, you confirm that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account details and password.

If you are acting on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

SECTION 2 - SUBSCRIPTION TERMS

Subscriptions are offered on a recurring basis (e.g., weekly, monthly, or annually) as specified at the time of purchase. By subscribing, you authorise us to charge your chosen payment method at the start of each billing cycle until you cancel in accordance with Section 6 below. Prices for subscriptions are stated on our website and may change from time to time. We will notify you in advance of any price changes that affect your active subscription.

SECTION 3 - PAYMENTS

All payments must be made in full and in advance of each subscription period. We accept payment through approved third-party payment processors. You authorise us to charge your payment method automatically for each renewal period unless you cancel your subscription before renewal. If payment fails, we may suspend or cancel your subscription until full payment is received. 

SECTION 4 - DELIVERY OR SERVICE ACCESS

If your subscription includes physical goods, delivery schedules and methods will be set out at checkout or in your order confirmation. Risk passes to you upon delivery.

If your subscription provides digital access (e.g., to online content or services), access begins once your payment is confirmed. You acknowledge that once digital content has been accessed, your statutory right to cancel under the Consumer Contracts Regulations may not apply.

SECTION 5 - CANCELLATION 

You may cancel your subscription at any time via your account or by contacting us at team@xp-reselling.com. 

SECTION 6 - PRICE CHANGES AND UPDATES

We reserve the right to adjust subscription prices, billing intervals, or features. We will provide at least 14 days notice before any changes. Continued use of the Service after notice constitutes acceptance of the new terms.

SECTION 7 - YOUR OBLIGATIONS

You agree not to use the Service for any unlawful or unauthorised purpose. You must not interfere with the Service’s functionality or security.

SECTION 8 - TERMINATION AND SUSPENSION

We may terminate or suspend your account or subscription at any time if we believe you have breached these Terms or engaged in fraudulent or abusive behaviour. Upon termination, any outstanding amounts remain payable. We reserve the right to refuse future access to the Service.

SECTION 9 - REFUNDS

Refunds are not guaranteed unless required by law or explicitly stated in our policies.

SECTION 10 -  INTELLECTUAL PROPERTY

All content, trademarks, logos, and materials provided as part of the Service remain our property or that of our licensors. You may not reproduce, modify, or distribute any content without prior written permission.

SECTION 11 -  LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law. To the fullest extent permitted by law we are not liable for any indirect, consequential, or business losses. Our total liability for any claim arising from the Service shall not exceed the total amount paid by you for the subscription in the previous 12 months.

SECTION 12 - DATA PROTECTION AND PRIVACY

Your personal data will be processed in accordance with our Privacy Policy, which complies with the UK GDPR and the Data Protection Act 2018.

By using the Service, you consent to our collection and use of your information as outlined in that policy.

SECTION 13 - FORCE MAJEURE

We are not liable for failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, labour disputes, supply chain interruptions, or technical failures.

SECTION 14 - GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of England and Wales. If you are a consumer, you may bring claims in your local UK court. If you are a business, the courts of England and Wales shall have exclusive jurisdiction. We encourage parties to seek resolution through mediation before commencing formal legal action.
